Company Administration including AGM’s

Leasehold properties have various covenants, usually contained within their lease. These covenants set out the framework for the administration of the development. It is normal practice for the legal structure to take the form of a ‘Limited Company’ (Residential Management Company).

Residential Management Companies can be Limited either by share or guarantee and it is the requirement of the Residential Management Company to comply with Company Law.

A Limited Company will have a set of rules known as the Articles of Association and this document sets out the rules for appointing officers, such as Directors, Company Secretaries and it specifically states the powers of that company in respect of its day-to-day operation.

Our normal duties include:

  • Maintaining a register of members, Directors and recording any changes
  • Completion and Filing of the Annual Return
  • Issuing notice of meetings and the AGM
  • Minute taking and Distribution
  • Share documentation administration, where applicable
  • Providing a Registered Office and Company Secretary
